Agreement
By accessing the PageX website or purchasing our services, you agree to these Terms of Service. If you do not agree, please do not use our website or services.
These Terms apply to all visitors, clients, customers, and users of PageX services.
Services
PageX provides website consultation, design, development, deployment, SEO optimization, analytics integration, automations, monitoring, maintenance, and related digital services.
The exact scope, pricing, deliverables, timelines, and included features for each project will be outlined through invoices, written communication, or separate agreements provided by PageX.
Consultation and Prototype Process
PageX may provide previews, prototypes, mockups, or early-stage concepts before payment as part of the consultation and approval process.
All prototypes, previews, concepts, drafts, and unpublished work remain the intellectual property of PageX unless otherwise agreed in writing.
PageX reserves the right to refuse service or terminate discussions at any stage before project approval.
Payments
All payments made to PageX are final and non-refundable.
Projects may require an upfront payment before work begins. Remaining balances must be paid according to the agreed invoice or payment schedule.
Payments are securely processed through Stripe or other approved payment methods used by PageX.
Failure to complete payment may result in project delays, suspension of active work, removal of deliverables, or cancellation of services.
Subscription and Maintenance
All websites created and managed by PageX require an active recurring maintenance subscription in order to remain operational.
Maintenance subscriptions may include:
- Hosting
- Website uptime monitoring
- Analytics integration
- Technical support
- Website updates
- SEO maintenance
- Security updates
- Infrastructure management
- Automation services
- Performance optimization
If a maintenance subscription payment becomes overdue by more than 7 days, PageX reserves the right to suspend the website and display a temporary suspension notice until payment is resolved.
If payment remains unpaid for 30 days, PageX reserves the right to permanently remove the website, hosting files, infrastructure, automations, and related project data without liability or obligation to recover lost content.
Ownership and Infrastructure
Upon full payment, clients receive rights to the final approved website design and custom content specifically created for their project.
All hosting infrastructure, domains, deployment systems, analytics systems, automation systems, maintenance tools, server configurations, and third-party service accounts managed by PageX remain the property and management responsibility of PageX unless explicitly transferred in writing.
Domains purchased through PageX are registered and maintained under PageX-owned accounts unless otherwise agreed.
Clients may request a full transfer of domain ownership and infrastructure management for a separate transfer fee of $1,000 USD.
Once ownership and infrastructure are transferred, PageX is no longer responsible for hosting, maintenance, uptime, monitoring, security, analytics, SEO performance, updates, technical support, or future functionality.
Revisions and Scope
Each project includes a limited number of revisions depending on the selected package or agreement.
Additional revisions, new features, or requests outside the original agreed scope may require additional charges and updated timelines.
PageX reserves the right to determine whether a request falls outside the original project scope.
Client Responsibilities
Clients are responsible for:
- Providing accurate information and content
- Responding to requests in a timely manner
- Reviewing deliverables promptly
- Obtaining rights to any content they provide
- Ensuring their business activities comply with applicable laws
Delays in communication, approvals, or content submission may impact project timelines and delivery dates.
Acceptable Use
Clients may not use PageX services, websites, or infrastructure for:
- Illegal activity
- Fraudulent services
- Malware or harmful software
- Spam distribution
- Copyright infringement
- Hate speech or violent content
- Adult or explicit content prohibited by hosting providers
- Any activity that may damage PageX systems, reputation, or third-party services
PageX reserves the right to suspend or terminate services immediately for violations of this section.
Third-Party Services
PageX may integrate or rely on third-party platforms, software, APIs, hosting providers, analytics services, plugins, payment processors, or external tools.
PageX is not responsible for outages, policy changes, pricing changes, account suspensions, data loss, or failures caused by third-party services.
Third-party services remain subject to their own terms and policies.
SEO and Performance Disclaimer
While PageX aims to improve website performance, user experience, and search visibility, we do not guarantee:
- Specific Google rankings
- Revenue increases
- Lead generation results
- Traffic levels
- Conversion rates
- Business growth
- Continuous uptime
Results may vary based on competition, industry, market conditions, algorithms, and factors outside PageX control.
Chargebacks and Payment Disputes
Clients agree not to initiate unjustified chargebacks or payment disputes for completed or partially completed work.
Submitting a chargeback or payment dispute may result in immediate suspension of:
- Websites
- Hosting
- Domains
- Automations
- Analytics
- Ongoing services
PageX reserves the right to submit invoices, communications, approvals, prototypes, project files, and service records as evidence during payment disputes.
Confidentiality
Any non-public business or personal information shared with PageX will be treated as confidential and used only for project-related purposes.
Warranties Disclaimer
All services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied.
PageX does not warrant that services will always be uninterrupted, error-free, secure, or compatible with every browser, device, or third-party platform.
Limitation of Liability
To the fullest extent permitted under Florida law, PageX and its owner shall not be liable for any indirect, incidental, consequential, special, punitive, or business-related damages, including:
- Lost profits
- Lost revenue
- Lost data
- Lost business opportunities
- Downtime
- Service interruptions
- SEO losses
- Security incidents caused by third parties
Total liability for any claim related to PageX services shall not exceed the total amount paid by the client for the specific project or service involved in the dispute.
Indemnification
Clients agree to defend, indemnify, and hold harmless PageX and its owner from any claims, damages, liabilities, costs, or legal expenses arising from:
- Client-provided content
- Client business activities
- Violations of laws or regulations
- Copyright or trademark infringement
- Misuse of the website or services
Termination
Either party may terminate a project or service agreement in writing.
Clients remain responsible for payment for all completed work, active subscriptions, outstanding invoices, and work performed up to the termination date.
PageX reserves the right to terminate services at its discretion for nonpayment, abuse, illegal activity, policy violations, or unreasonable conduct.
Changes to Terms
PageX may update these Terms of Service at any time without prior notice.
Continued use of the website or services after updates constitutes acceptance of the revised Terms.
Governing Law
These Terms shall be governed and interpreted under the laws of the State of Florida, United States, without regard to conflict of law principles.
Any disputes related to these Terms or PageX services shall be handled exclusively in Florida courts.
